Doubt regarding amalgamation

purchase consideration nikalne ke samae tumhe ye dhyan me rakhna chaiye ki ham basically company ke owner logo ko jo paise bas paise nehi jo bhi chis de rahe hai ham usse paise,debenture shares jo kuch bhi de wohi pc .

ab pc calculate karne ka 2 process:-

1.do what the question says i.e it may say we are giving this much shares and this much cash to shareholders ,calculate accordingly and u got ur pc,then u deduct it from net asset of transferor co. to get goodwill or capital reserve(i take it that u know about goodwill and capital reserve,if u dont ask me)

2.calculate the net asset of transferor co. and add it with goodwill or deduct it with capital reserve.jab question bole ki co. itna goodwill me beche to net asset ke sath goodwill add karo,agar bole co. capital reserve me beche to net asset se capital reserve less karo
