Please tell me the last date for despatch of notice with annual report as we are in the process of printing notices.

AGM notice requires 21 clear days gap i.e. exluding despatch and date of meeting. In your case last date for sending notice will be July 6.

under section 166 of the companies act,1956 every company have to held its annual general meeting within 15 months and newly incorporated company within 18 months .the notice of annual general meeting is to be despacted to shareholders before 21 days of the meeting and meeting is not held on sunday .

AGM notice requires 21 clear days notice i.e. exluding the date of despatch of notice and the date of meeting.
In case the notice is to be send by way of post addition 48 hours time is to be included i.e. additional 2 days.
Therefore, totao 21+2= 23 days time gap excluding the date of dispatch of notice and the date of meeting.

4th jul is to be the last date for dispatching the notice for holding the agm on 28th jul.

Dear All,
You need clear 25 days........21 days notice----------48 hours posting----------------2days ---the day of notice & the day of AGM............hence you should despatch notice on 2nd of July

Actually, time of posting of the notice also should be considered. 21 days clear notice means 21 days + 2 days + 48 hours.
