Directors leave of absence

If Mr. X is not attending the ensuing Board Meeting, in which it is proposed to appoint him as a director. Now there is alomost 10 iteams are there in the agenda and 2nd agenda is about his appointment. 

 Now does his absence in the BM will be treated as absent as per Companies Act, in respect of other items after her appointment iteam is passed as such and require Leave of Absence from him?
