BOD can fill a casual vacancy among directors (sec 262) without approval of shareholders. Besides this BOD can also appoint an alternate director (sec 313). Moreover if articles of the company provides, then Non-rotational directors can also be appointed by the board for the term determined in general meeting or as provided in the article.
