No . A  director is not allowed to appoint proxy

There is no provision in the Companies Act, 2013  which allows directors to appoint proxy to attend teh Board Meeting. Directors are the senior most person of the Company . The Material and the substantial decisions are taken by them only. Although a concept of Alternate Director exists in the Companies Act, 2013

Yes. A Director can act as a proxy subject to Section 105 of CA 2013
