A private limited company wants to deface its old share certificates and issue new share certificates in its place pursuant to the change in name of the Company. What are the compliances required ? Does it only needs to pass Board Resolution as refered in Section 4(2) of Issue of Share Certificates Rules, 1960 ? Can any one please provide me with the format of resolution ?
