Dear Professionals,
'A' company owes 'B' company debt of Rs. X. It is now proposed to convert the debt to equity.
Pl. help with the compliances and process involved except for Board / shareholders resolution.

In case of allotment of share the company is required to fie eform 2 and in case of allotment of share other than in consideration for cash than eform 3 for the agreement on which the share is issued is also required to file with ROC.
