A member of the Institute shall be deemed "to be in practice' when, individually or in partnership with one or more of members of the Institute in practice or in partnership with members of such other recognised professions as may be prescribed, he, in, consideration of remuneration received or to be received: -



  1. engages himself in the practice of the profession of Company Secretaries to , or in relation to, any company; or
     
  2. offers to perform or performs services in relation to the promotion, forming, incorporation, amalgamation, reconstruction, reorganization or winding up of companies ; or
     
  3. offers to perform or performs such services as may be performed by -
    1. An authorised representative of a company with respect to filing, registering, presenting, attesting or verifying any documents (including forms, applications and returns) by or on behalf of the company.
    2. A share transfer agent
    3. An issue house,
    4. A share and stock broker,
    5. A secretarial auditor or consultant,
    6. An adviser to a company on management, including any legal or procedural matter falling under the Capital Issues (Control) Act, 1947, (29 of 1947), the Industries (Development and Regulation) Act, 1951( 65 of 1951), the Companies Act, the Securities Contracts (Regulation) Act, 1956 ( 42 of 1956) any of th rules or bye-laws made by a recognised stock exchange ,the Monopolies and Restrictive Trade Practices Act, 1969 (54 of 1969) , the Foreign Exchange Regulation Act, 1973 (46 of 1973) , or under any other law for the time being in force.
    7. Issuing certificates on behalf of, or for the purposes of, a company; or

     
  4. holds himself out to the public as a Company Secretary in practice; or
  5. renders professional services or assistance with respect to matters of principle or detail relating to the practice of the profession of Company Secretaries; or
  6. renders such other services as, in the opinion of the Council, are or may be rendered by a Company Secretary in practice;

    and the words " to be in practice" with their grammatical variations and cognate expressions, shall be construed accordingly.

    No member of the Institute shall be entitled to practice, whether in India or elsewhere unless he has obtained from the Council a Certificate of Practice. (Ref: Section 6(1) of the Company Secretaries Act, 1980)

    A member of the Institute may apply to the Council in the appropriate form for issue of a Certificate of Practice entitling him to practice as a Company Secretary anywhere in India.

    In the case of renewal of the Certificate of Practice the Secretary shall issue a letter extending the validity period of the Certificate of practice for that year in the appropriate form.

    A member who ceases to be in practice shall not later than thirty days from the date he ceases to be in practice intimate the fact to the Council in writing.

    A member who ceases to be in practice or whose certificate of practice has been cancelled under regulation 11 shall surrender forthwith the certificate of practice held by him to the Secretary.

    A practicing member of the Institute is not allowed to engage in any business or occupation other than the profession of company secretary, without obtaining the prior permission of the Council.
Form and Fee

Eligibility for issue of Certificate of Practice

  1. An Associate/Fellow member of the Institute who intends to be engaged in the profession of Company Secretary on whole time basis and not in any other profession, business or employment can apply for issue of Certificate of Practice

 

  1. A Member who is not in any employment  evidencing a master-servant relationship with the employer or contract of service or not practising as Chartered Accountant or Cost Accountant or not enrolled as an Advocate with any Bar Council.
Requirements     

(i)    An application in the prescribed Form �D duly completed in all respects and signed   alongwith requisite annual certificate of practice fee of Rs.1000/- and annual membership fee for that year.   Only 50% of annual Certificate fee is payable if the application for issue of Certificate of Practice is made on or after 1st October and before 31st March. 

 

(ii)    In case the member was earlier in employment, a copy of relieving letter of the last employer company or any other proof in lieu thereof and the present engagements, if any, to be submitted, to the satisfaction of the Council.

 

(iii)   In case the relieving letter or any other document in lieu thereof is not available the member may submit an affidavit on non-judicial stamp paper of Rs. 10/- duly attested by 1st Class Magistrate/Notary Public/Oath Commissioner affirming the date of relieving from the last employment and an undertaking to submit the relieving letter immediately on receipt.  

In case the member was earlier enrolled as an Advocate, a copy of the letter of suspension/ cancellation of enrolment from the concerned Bar Council or if he was earlier holding Certificate of Practice of ICAI, ICWAI or any other professional body, a copy of letter of cancellation of the concerned professional Institute confirming cancellation of their certificate of practice and the present engagements, if any.

Renewal of Certificate of Practice

  1. The Certificate of Practice issued to a member is required to be renewed every financial year by payment of annual certificate fee, which presently is Rs. 1000, and the annual membership fee, which presently is Rs. 1125 for an Associate Member and Rs. 1500 for a Fellow Member. 

 

  1. For effecting renewal of Certificate of Practice, the member has also to submit a declaration for the renewal of Certificate of Practice.  The format of declaration is available on the website of the Institute.
Cancellation of Certificate of Practice
  1. The member has to make a request in writing along with return of original Certificate of Practice for cancellation within 30 days of his ceasing to be in practice. 

 

  1. The other circumstances under which the Certificate of Practice shall be cancelled are as under:-

(i)     When name of the member is removed

.

(ii)     When the member has not paid the Certificate of Practice fee by the last extended date for payment of fee for the relevant year.

 

(iii)    When the Council is satisfied, after giving an opportunity of being heard to the person concerned, that such certificate was issued on the basis
 of incorrect, misleading or false information, or by mistake or inadvertence.
 

(iv)    The member has ceased to be in practice. 
 

3.  When a certificate is cancelled, the date from which and the period for which the certificate stands cancelled shall be communicated in writing by registered post to the member concerned at his mailing address entered in the Register and may also be published in the Institute�s journal �Chartered Secretary�.

Restoration of Certificate of Practice
 

1.  The Certificate of Practice is renewed in the same financial year in which it is due for renewal provided the fee for renewal alongwith the requisite declaration is received and accepted by the Institute in the same financial year.  The application for restoration of Certificate of Practice shall be made in Form-D alongwith declaration and  the remittance of annual Certificate of Practice fee of Rs. 1000/- and a restoration fee of Rs. 250/-  

 

2.   Where the Certificate of Practice is required to be cancelled on failure to pay the annual fee for Certificate of Practice on or before the due date prescribed and an application for restoration of Certificate of Practice is received and accepted by the Institute in the same financial year, the Certificate of Practice is restored on payment of the�
 

(i)    The requisite annual fee for Certificate of Practice for the current year & a restoration fee

(ii)    The payment of Annual Membership fee for the current year. 
 

3.   Where the Certificate of Practice has not been renewed or accepted for renewal in the same financial year and as a result of which it is cancelled, a fresh Certificate of Practice will be issued with effect from the date of acceptance of application for the issue of a fresh certificate.
 

4.   A communication for restoration/fresh issue of Certificate of Practice is sent to the member in writing.  Restoration/issue of certificate of practice is also published in the Institute�s Journal �Chartered Secretary�.

Due dates

  1. After enrolment, the annual membership fee and renewal fee for certificate of practice (alongwith the declaration form) are due and payable on the first day of April every year. Any person who has not paid his annual membership fee/annual certificate of practice fee on or before 30th June of that year shall be liable to his name being removed from the Register w.e.f. 1st July of that year without any further notice
     
  2. Half payment of the annual associate/ certificate of practice fee shall be payable for the first year by a person admitted on or after 1st day of October of that year.
     
  3. An associate/fellow, who is of the age of fifty-five years and above and not in any gainful employment or in practice, shall pay half of the annual membership fee subject to submission of declaration to the said effect.

Change in the name of the member

 

The member may get his name changed.  The change in name in the records of the Institute will be noted under the following circumstances.

 

(a)   In case of Female Members on their marriage

 

Application for change in surname, alongwith a copy of marriage invitation card,

OR

Attested copy of Marriage Registration Certificate

OR

An affidavit on non-judicial stamp paper of Rs. 10/- affirming the date of marriage with details duly attested by First Class Magistrate/Notary Public/Oath Commissioner as the case may be.

 

(b)  In all other cases

 

Extracts of attested copy of Gazette Notification and Original copy of advertisement in a leading Newspaper for change of name,

 

 

 

 

Change of Professional Address

A member is required to intimate the change in his professional address within 30 days from the date of the said change.  The professional address may also be changed by the member online through the web-site of the Institute.

Requirements:-
A written request for change of professional address or residential address by member is required to be made to the Membership Section of the Institute or be sent at e-mail ids member @ icsi.edu; memberaddress @ icsi.edu, cp @ icsi.edu (for CP holders only)

 

 

 

 

Constitution or reconstitution of the Firm should be Approved by the Council

 

(i)            No firm of Company Secretaries shall be constituted or reconstituted without the prior approval of the Council.

 

(ii)          The Council shall not refuse to accord its approval to the constitution or reconstitution of the firm unless it is of the opinion that the terms of the partnership agreement permit directly or indirectly, the doing of anything by the firm or its partner which amounts to professional misconduct or that the terms of conditions of the partnership agreement are not fair and reasonable or that having regard to the circumstances of the case, the proposed constitution or reconstitution of the partnership would not be in the interest of the general public.

 

(iii)              A member can practise individually as well as a partner in one or more firms of Company Secretaries. 

 

(iv)         A member may apply for approval of proprietorship concern and partnership firm in approved Form-I duly completed in all respects and signed.
Associate Member (ACS)

A person who has passed the Final examination of the Institute and has completed the prescribed practical training requirements or exempted there from shall be entitled to get himself enrolled as an Associate Member. On his admission to Associateship, he is entitled to use the descripttive letters �ACS� after his name to denote that he is an Associate member of the Institute and also to use his designation �Company Secretary� after his name.

Requirements for enrolment as ACS
 
  1. Submit Application in Form-A (available on the web-site of the Institute) complete in all respects duly signed by the candidate  alongwith fee as per details given below:-

(i)  Associate Entrance fee                  Rs. 1500/-

(iii) Neck tie/lady broach                     Rs.  50/- (Optional)

(ii)        Two fitness certificates from two members of the Institute having standing of at least three years of the Institute.  

(iii)       Mark-sheets CS Final Examination (All the groups) 

(iv)       Proof of completion of Training requirements including SMTP. 

(v)        Specimen signature card with coloured passport size photograph.
 

(vi)       Separate Application form for enrolment as member of Company Secretaries Benevolent Fund with DD/Cheque for Rs.  2500/- drawn in favour of �Company Secretaries Benevolent Fund� towards subscripttion for Life Membership. One time payment (eligible for tax exemption under section 80G of the Income Tax Act. (Optional).

Fellow Member (FCS)

A person is entitled to get himself enrolled as a Fellow, if he is an Associate Member for atleast five years and fulfills the conditions as stipulated in Regulation 4(2) of the Company Secretaries Regulations, 1982 which provides as under:-  

�No person shall be entitled to have his name entered in the Register as a Fellow unless he/she 

(a)      was a Fellow (including Honorary Fellow) of the dissolved company immediately before the commencement of the Act; or  

(b)      was admitted as a Fellow under the earlier regulations; or 

(c)      is an Associate and has been in continuous practice in India as Company Secretary for at least five years; or  

(d)     is an Associate for a continuous period of not less then five years and possesses experience of not less than five years on the date of application in supervisory position out of which at least three years shall be as Secretary or in a post considered equivalent or higher thereto by the Council in a company or body corporate having an aggregate paid-up capital of not less than rupees twenty five lacs; or

(e)     is an Associate for a continuous period of not less then five years and possesses five years total experience in the disciplines of law, management or commerce either in a Group �A� post in the Central Govt. or any equivalent post in the State Government or Local authority or in a Supervisory position in any organization deemed by the Council as equivalent to the experience specified in clauses (c) or (d).

Provided that in the case of any person belonging to any of the classes mentioned in sub-regulations (1) or (2) who is not permanently residing in India, the Council may, by resolution impose such further conditions, as it may deem necessary or expedient.  

Explanation - For purposes of Clause (d) of sub-regulations (2); a body corporate shall include a statutory body, a society registered under any law relating to societies or co-operative society registered under any law relating to co-operative societies and where such body corporate does not have any paid-up capital, general reserves of not less then rupees fifty lakhs shall be deemed to be equivalent to paid-up capital of rupees twenty five lakhs�   

Upon his advancement to fellowship, the member is entitled to use the descripttive letters, �FCS� after his name to denote that he is a Fellow Member of the Institute.

Requirements for enrolment as Fellow member:-
(a)          Application in Form-B duly completed in all respects and signed.   

(b)         Fellow Entrance fee                 Rs.  1000/-

        Fellow annual membership fee   Rs.  1500/- (*)

 (*)  In case Associate membership fee has already been paid, then the difference of Annual membership fee of ACS & FCS i.e. Rs.375/-.

 In case of members claiming FCS on the basis of experience of employment:-

 (a)        Service certificate(s) from the employer(s) mentioning date of joining/leaving, nature of duties performed and the post(s) held and elevations, if any, from time to time;

 (b)   Certificate(s) from the past and present employer companies certifying paid-up capital, turnover and total assets of the companies for the relevant period
         of 5 years or annual reports of the company for the relevant period.

 

 

 

 

 

 

Enrolment as a licentiate

Eligible students who have complied with the following requirements may apply for enrolment as a Licentiate:-

(i)                  A person who has completed the Final examination of the Institute may, within six months from the date of declaration  of results in which he has passed the Final examination can apply for enrollment as a licentiate.

 

(ii)                AAn application for enrolment as a Licentiate is to be made in approved form ST-8 alongwith annual subscripttion of Rs. 1000/-.

 

(iii)              Copies of date of birth and graduation certificate or Foundation pass certificate duly attested by any member of the Council/Regional Council/Satellite Chapter of the Institute or any Officer of the Institute.     

 

(iv)              A licentiate shall not ordinarily be allowed to renew his enrolment for more than five years after passing the Final Examination.

 

On enrolment as a Licentiate of the Institute a person shall be entitled to use the descripttive letters  Licentiate ICSI” to indicate that he has qualified the final examination of the Institute.

 

Due date for payment of annul subscripttion :-

 

a.   The annual subscripttion of a licentiate shall become due and payable on the First date of April every year.

 

b.  Non-payment of annual subscripttion on or before the thirtieth of June of a year shall disentitle the person to use the descripttive letters “Licentiate ICSI” from 1st July of that year, until his annual subscripttion for the year is received by the Institute. The name of the person so disentitled shall be published in the Journal.

 

 

 

 

 

 

 

 

 

 

PAYMENT OF ANNUAL MEMBERSHIP AND CERTIFICATE OF PRACTICE FEE:
 

The names of members who could not remit their annual membership fee for the year 2010-11 by the last extended date i.e. 31st August, 2010 stand removed from the Register of Members w.e.f. 1st September, 2010.  They may pay the fee and get their names restored by making an application in Form `BB` with the restoration fee of Rs. 250/.  Form-BB is available on the web-site of the Institute (Home page � Sections � Members � Forms for Members).  

The Certificate of Practice of the members who could not remit their annual Certificate of Practice fee for the year 2010-11 by the specified date i.e.  30th September, 2010 will stand cancelled w.e.f. 1st October, 2010. They may restore their Certificate of Practice by making an application in Form `D` with the restoration fee of Rs. 250/-.    Form-D is available on the web-site of the Institute (Home page � Sections � Members � Forms for Members).

�Method of remittance�
 

The fee can be remitted by:-

                  (i)                  Credit Card at the Institute�s Headquarter at Lodi Road, New Delhi or Regional Offices located at Kolkata, New Delhi, Chennai and Mumbai,

Acceptance of Annual Membership fee in advance 

The members if they so desire, can pay advance membership fee for three years.  The scheme for accepting the Annual Membership fee in advance from members within and outside India for a period of period of three years is as under:-  

           i.   Advance fee would be accepted for a period of three years only.  Members desirous of availing this facility are, therefore, advised to calculate the advance fees, based on the fee/ rates for the time being in force. 

 

          ii.   The advance amount received by the Institute would not be adjustable for any other fees due, such as amount payable at the time of enrolment as fellow, grant of Certificate of Practice afresh/ renewal after a gap etc.  The members would be required to pay such fee separately while submitting the prescribed application form(s) etc. for the purpose.
 

        iii.     Payment of advance fees is only a facility to members and that it would in no manner mean that because of the advance payment of fees their membership is secured upto the relevant year(s).  In spite of the advance payment of fees, continuance or otherwise of their membership would be subject to the provisions of the Company Secretaries Act, 1980 and the Rules and Regulations framed thereunder.
 

        iv.    In case the advance lying to credit of the member�s account falls short of subsequent year�s fee requirement, it would be the responsibility of the member to send the requisite amount as advance or balance of membership fee for the subsequent year.
 

         v.  Refund of advance fee received would not be allowed under any circumstances except in case of removal of the name of a member from the Register of Members under the provisions of the Company Secretaries Act, 1980, the Company Secretaries Regulations, 1982 and the Rules.
 

        vi.    In the case of death, the fee for the year in which deletion of the name takes place would be deducted and the balance of the advance fee paid, if any, would be refunded to nominee(s)/ legal heir(s) of the member concerned.  In all other cases, the balance of advance fee, after such a deduction as aforesaid, if any, would be kept to the credit of the member concerned for adjustment towards annual membership fee payable at the time of restoration.
 

      vii.       Interest on the advance fee would not be payable at all.
 

     viii.      In case of members residing abroad payment of advance fee should be made in Indian currency i.e. the draft/ cheque drawn on the designated Indian branch for credit to the account of the Institute. However, where the fee has been sent in foreign currency, conversion of foreign currency would be at the rate applicable on the date when the Institute bankers give credit. 

 

Concession in payment of Annual Membership fee

Pursuant to Company Secretaries (Amendment) Regulations, 2010, came into force w.e.f 26th July, 2010 published in the Gazette of India Extraordinary Part-III Section 4, a member who is of the age or sixty years of above and is not in any gainful employment or practice can claim 50% concession in the payment of Associate/Fellow Annual Membership fee subject to the furnishing of declaration in the specified format.

Further a member who is of the age of seventy years or above and is not in any gainful employment or practice can claim 75% concession in the payment of Associate /Fellow Annual membership fee subject to the furnishing of declaration in the specified format.

    (Ref: Regulation 10 of The Company Secretaries Regulations, 1982.)

    A practicing member of the Institute is not allowed to engage in any business or occupation other than the profession of company secretary, without obtaining the prior permission of the Council.
Form and Fee

Eligibility for issue of Certificate of Practice

  1. An Associate/Fellow member of the Institute who intends to be engaged in the profession of Company Secretary on whole time basis and not in any other profession, business or employment can apply for issue of Certificate of Practice

 

  1. A Member who is not in any employment  evidencing a master-servant relationship with the employer or contract of service or not practising as Chartered Accountant or Cost Accountant or not enrolled as an Advocate with any Bar Council.
Requirements     

(i)    An application in the prescribed Form �D duly completed in all respects and signed   alongwith requisite annual certificate of practice fee of Rs.1000/- and annual membership fee for that year.   Only 50% of annual Certificate fee is payable if the application for issue of Certificate of Practice is made on or after 1st October and before 31st March. 

 

(ii)    In case the member was earlier in employment, a copy of relieving letter of the last employer company or any other proof in lieu thereof and the present engagements, if any, to be submitted, to the satisfaction of the Council.

 

(iii)   In case the relieving letter or any other document in lieu thereof is not available the member may submit an affidavit on non-judicial stamp paper of Rs. 10/- duly attested by 1st Class Magistrate/Notary Public/Oath Commissioner affirming the date of relieving from the last employment and an undertaking to submit the relieving letter immediately on receipt.  

In case the member was earlier enrolled as an Advocate, a copy of the letter of suspension/ cancellation of enrolment from the concerned Bar Council or if he was earlier holding Certificate of Practice of ICAI, ICWAI or any other professional body, a copy of letter of cancellation of the concerned professional Institute confirming cancellation of their certificate of practice and the present engagements, if any.

Renewal of Certificate of Practice

  1. The Certificate of Practice issued to a member is required to be renewed every financial year by payment of annual certificate fee, which presently is Rs. 1000, and the annual membership fee, which presently is Rs. 1125 for an Associate Member and Rs. 1500 for a Fellow Member. 

 

  1. For effecting renewal of Certificate of Practice, the member has also to submit a declaration for the renewal of Certificate of Practice.  The format of declaration is available on the website of the Institute.
Cancellation of Certificate of Practice
  1. The member has to make a request in writing along with return of original Certificate of Practice for cancellation within 30 days of his ceasing to be in practice. 

 

  1. The other circumstances under which the Certificate of Practice shall be cancelled are as under:-

(i)     When name of the member is removed

.

(ii)     When the member has not paid the Certificate of Practice fee by the last extended date for payment of fee for the relevant year.

 

(iii)    When the Council is satisfied, after giving an opportunity of being heard to the person concerned, that such certificate was issued on the basis
 of incorrect, misleading or false information, or by mistake or inadvertence.
 

(iv)    The member has ceased to be in practice. 
 

3.  When a certificate is cancelled, the date from which and the period for which the certificate stands cancelled shall be communicated in writing by registered post to the member concerned at his mailing address entered in the Register and may also be published in the Institute�s journal �Chartered Secretary�.

Restoration of Certificate of Practice
 

1.  The Certificate of Practice is renewed in the same financial year in which it is due for renewal provided the fee for renewal alongwith the requisite declaration is received and accepted by the Institute in the same financial year.  The application for restoration of Certificate of Practice shall be made in Form-D alongwith declaration and  the remittance of annual Certificate of Practice fee of Rs. 1000/- and a restoration fee of Rs. 250/-  

 

2.   Where the Certificate of Practice is required to be cancelled on failure to pay the annual fee for Certificate of Practice on or before the due date prescribed and an application for restoration of Certificate of Practice is received and accepted by the Institute in the same financial year, the Certificate of Practice is restored on payment of the�
 

(i)    The requisite annual fee for Certificate of Practice for the current year & a restoration fee

(ii)    The payment of Annual Membership fee for the current year. 
 

3.   Where the Certificate of Practice has not been renewed or accepted for renewal in the same financial year and as a result of which it is cancelled, a fresh Certificate of Practice will be issued with effect from the date of acceptance of application for the issue of a fresh certificate.
 

4.   A communication for restoration/fresh issue of Certificate of Practice is sent to the member in writing.  Restoration/issue of certificate of practice is also published in the Institute�s Journal �Chartered Secretary�.

Due dates

  1. After enrolment, the annual membership fee and renewal fee for certificate of practice (alongwith the declaration form) are due and payable on the first day of April every year. Any person who has not paid his annual membership fee/annual certificate of practice fee on or before 30th June of that year shall be liable to his name being removed from the Register w.e.f. 1st July of that year without any further notice
     
  2. Half payment of the annual associate/ certificate of practice fee shall be payable for the first year by a person admitted on or after 1st day of October of that year.
     
  3. An associate/fellow, who is of the age of fifty-five years and above and not in any gainful employment or in practice, shall pay half of the annual membership fee subject to submission of declaration to the said effect.

 

 

 

 

 

 

 

 

Guidance Note on Memorandum of Understanding between the Institute of Company Secretaries of India (ICSI) and the Institute of Chartered Secretaries and Administrators (ICSA)

Thank you for the interest you have shown in becoming a member of ICSA.  Please find attached the relevant application form.  The following represents some

general guidance in connection with the requirements and regulations re the Memorandum.

 

Eligibility:

 

1)            You must have been a member of ICSI (Associate or Fellow), in good standing for a minimum of two years.

2)            You are required to complete the following three non-exempted ICSA examinations:

 

-     Corporate Law

-     Corporate Administration

-     Corporate Secretaryship

 

3)            Membership must be certified by the ICSI Endorsing Officer, Mr. P K Grover.  This must be done on the relevant section of the attached application form,

 prior to registration with ICSA.

 

Registration Procedures:

 

To register as a student, you must complete the attached form, returning this to ICSI to obtain the required certification.  ICSI will then forward complete application

forms to ICSA.

 

The ICSA registration closing dates are as follows:

            For students wishing to sit examinations in JUNE               20 February

            For students wishing to sit examinations in DECEMBER      20 August

 

Completed applications must be submitted to ICSI in time to allow onward transmission to ICSA, so as to ensure arrival by the above dates.  For further guidance

please refer to ICSI.  It should be noted that the late applications will not be accepted.

 

No fee is payable in connection with registration or the exemption awarded on the basis of ICSI membership.
