Convesion of proprietorship firm into an llp

Sir , I am an owner of a proprietorship firm having distribution business. For some reasons I want to convert it into an LLP

1) Is it possible to do so ?

2) If so the licences and vat registrations need to be reobtained? or  can the existing one ,in my personal name be used?

3) If the name of the firm changed with addition of sufixes without changing address, can I use the same licences ?

4) Addition of partners does  require change of lcences/ reapplication? anybody please suggest

Hi,

 

Conversion is not possible. Make an application for registering new LLP, wherein the business activity of LLP should reflect the takeover of business of sole proprietor firm.

Fresh license need not be obtained. You can carry the business under the same license. You need to intimate the department regarding name change and the department will issue the new license with same registration no.

Addition/ deletion of partner doesn’t require change of license. Intimation by filing of Form 3 [Supplemental Agreement] and form 4 [Consent/ Resignation letter] with Registrar of LLP within 30 days.
