Consent letter of partners in llp of name change

The procedure for change of name of LLP is governed by limited liability partnership agreement and the provisions of sec 19 of LLP act 2008

In case there is no clause in the limited liability partnership agreement relating to change in the name the same can be made with the consent of all the partners of limited liability partnership

draft resolution :
"RESOLVED THAT pursuant to the provisions of sec 19 and other applicable provisions,if any, of the limited liability partnership Avt,2008 (as amended or re-enacted from time to time) and clause....... (clause number) of LLP agreement dated........, the existing name of llp be changed from............... to.......... as agrred upon by the partners of LLP and in furtherance to this the LLP agrrement shall be amended accordingly

RESOLVED FURTHER THAT Mr. or Mrs...............(name of designated partner) designated partner be hereby authorised to sign necessary documents,forms, do necessary filings with the register of LLP and to do any such acts and deeds that may be necessary in this regard"
