If it is not possible for one of the promoter to continue with the incorporation of proposed Company, another person can replace him/her. For this the former person will have to give a no-objection letter, the format of which may be like this. This is to be attached while filing Form 1:

I, X, S/o Mr. Y, resident of (Address) do hereby affirm that I was one of the Promoter /Subscriber of M/s Z  PVT. LIMITED (Under Incorporation). The Circumstances is such that I may not be able to subscribe for the shares of the Company hence someone else will replace me as a Promoter/ Subscriber for the company under incorporation.

I declare that I have no objection in being replaced by someone else as a subscriber for the aforesaid company.

U can file form 1,18 nd 32 after taking NOC from director in whose place he is appointed.

u attach NOC certificate with form 1

yeah... even i did the same for one of the group company...  just take the NOC from the person and attach this NOC with form 1 and upload the forms 1, 18, 32 for incorporation of Company
