Compamies act, 2013- appointment of first auditors

'RESOLVED THAT pursuant to the provisions of Section 139(6) and other applicable  provisions, if any, of Companies Act 2013, Mr XYZ & Associates, Chartered Accountants, having firm registration No.______, who are willing to be appointed as auditors of the company and from whom certificate pursuant  to Section 139 of the Act has been received, be and are hereby appointed as the first auditors of the company to hold office until the conclusion of the first Annual General Meeting on a remuneration to be decided by Mr A, MD of the company."

It may be noted that ADT.1 is not required to be filed with ROC for appointment of first auditors.
