Dear Friends,

One of my client want to close the private limited company due to recession in the trade. Kindly suggest steps to follow to file the papers with ROC. Thanks in advance

Hi,

As per the provisions of Part VII Chapter III of the Companies Act, 1956, Every company is required to file the Declaration of Solvency certificate with the ROC within 5 weeks of passing the special resolution for the winding up in the general meeting. Further, a Notice regarding the  appointment of a liquidator for such purpose has to be filed within 10 days of such appointment with the ROC. And the copy of final meeting along with the return is required to be filed within 1 week of the Final Meeting.

               Why are you close company. You can sell the company  and get some money and if you sell the company you have no liabilties and if you sent full detail of company. I can give futher advice on this matter
