Chief Executive Officer & Director

Ours is a private limited company. the Board meeting was held on 11th March, 2011. in that Board Meeting we have appointed Mr. X was an Chief Executiev Officer w.e.f. 1st April, 2011.

Now in the same Board Meeting Mr. X is also appointed as Additional Director w. e. f. 1st April, 2011.

Appointment of Addional Dierctor can be done through routine ROC formalities.

My query is :-

1. Are there any formalities for appointment of CEO in Board Meeting. Is Board resolution required for appointment of CEO.??

2. Mr. X is CEO and Director, are any provisions of Companies, Act, 1956 which gets attracted.??
