change of registration status

Please approach to the RBI first with proper application(FNC-1) making a note in the form itself for such conversion and then file Form -52 with ROC.

I have further query regarding the same as follows,

1. Should we attach all the required documents with FNC-1 at the time of establishment for Branch office such as MOA/AOA of parent company, financial reports, POA, Declaration, Board Resolution and all?

2. Submitting of Form52 means to close liaison office?

3. If 2. is yes, we have to submit Form44 as registration of Branch office newly?

Yes,you are correct in point 1.As per the requirement under FNC-1 you have to annexe all the documents.

Closure procedure must be there regarding your liaison office and then go for obtaining fresh certificate of establishment through eForm 44 for your branch office.Take additional permission for closure from the Jurisdictional RBI,please mention these facts at the time of taking permission from the RBI.RBI is going to approve your application accordingly.
