But it is advisable to authorise someone on behalf of company to plead through a duly passed resolution...

One person should be authorised for all that work on behalf of the company by way of duly passed Board Resolution.

without authorisation in a board meeting co. cannot authorise anyone to file the suit so a cannot file a suit without a board resolution.
