Board Resolution for form 32

Hi Jeet,

Form 32 itself having one declaration for the attachment of evidence for consent, accordingly it is required for public companies.

As far as Board Resolution is concerned...its not mandatory but as a good secretarial practice you can file the same.

I have to file form 32 as one of the directors resigned, I wanted to know whether board resolution accepting the resignation is required  or just attaching the resignation letter will do.

Is there any relevant provisions regarding the same in the companies act.

Yes, agree with the learned members.

Only resignation letter will be sufficient. However, to follow good corporate governance practice we should also attach Board Resolution accepting the resignation.
