Board Meeting through Video conferencing

As per the recent MCA notification, a Board Meeting can be held through Video conferencing.

But does this meeting through Video conferencing require an Amendment in Articles authorising the holding of Board Meeting through Video conferencing?

May be or not...

If AOA contains artile about the mode of holding Board Meeting, then it will require to provide this mode too.. Otherwise no need to have such provision in article....

As per you query, it seems that in your case, AOA has such provision, accordingly, the same needs to be altered....

Hi...

As the circular intent is to simply the procedure of Board meeting to allow more participation which will be good for company perspective, hence it is not required/intended to create additional burden by amending articles of company.But if AOA contains any provision regarding prohibition on conducting board meeting by Video Conferencing then only it requires to be amended.

one of the condition of doing board meeting via video conferencing is that all the director should be physically present in the financial year

My query - what if board meeting is done at the begning via video conferencing during the starting of the meeting and by the end of the financial year one dicrector is not able to attend physically in any meeting during the year.

will the borad meeting which was conducted via board meeting will be nullified or will be considered as disqualified or the director who is not able to attend meeting will be disqualified.

Please suggest
