Board meeting: only one vote?

Hi, all At a board meeting with the necessary quorum, suppose all directors abstain from voting on a resolution except one, and that single director vote for the resolution, does the vote of one constitutes a "majority" vote? Thanks.

Except where unanimous voting is requird(in 3 sec., plz refer book for them), resolution by majority rule apply. So in ur gvn case, resolution wd b passed since no 1 was against.
