I assume the Promoter is also the Director of the Company.

If yes, then his absence from Board Meeting without obtaining Leave of Absence for the Last 3 Meetings

or meetings held in last 3 months (whichever earlier) would  lead to Vacation of office of Director U/s 283 (1) (g)  of Companies Act 1956.

But if Notices to such Director is sent and Leave of Absence obtained from attending the Board Meeting

then there is no issue as per my view.
