What is the proper format as per companies act, 2013 for appointment of MD in a company..??

you need to file E-form DIR-12 to Registrar of companies to appoint managing director in the company
Attachments will be:-
1) DIR-2 i.e. consent to act as director (word format)
2) Copy of resolution passed
3) self attested KYC of directors
4) Appointment letter of director

For the appointment of an MD in a company, you need to pass a board resolution, get approval from the shareholders in the meeting. After issuing the notice for the board meeting, you need to get a consent from the appointee presenting his interest to be the same. Then, pass the resolution in the meeting. You need to fill forms MGT -14, DIR 12 and MR-1.
Is the attendance sheet of Board Meeting will not be attached..??
No, attendence sheet of board meeting is not required to be attached anywhere to appoint managing director
