Dear Varsha,
form 32 is required for appointment and resignation of directors, mds, managers, Company Secretary...etc.... appoitment of chairman of a does not require filing of form 32

1. The Chairman can be appointed by the Board in every meeting or in one meeting for all the meetings as per the prov of the AOA.
2. No form 32 requred for appointment of chairman as such
