First of all you check minutes of Board Meting in which first financial year of the company was decided by the Board.

You have incorporated your company in Nov 2010 so as per section 166 you may hold your first agm within 18 months i.e. April 2012 ( immaterial) as per section 210(3)(a) you have to hold ur first agm within 9 months from the end of your financial year i.e. 31st March 2011. therefore you have to hold your first AGM on or before 31st december 2011.

if you hold the AGM on 31st december 2011 you have to file your annual return (Form 20B )within 60 days from the date of agm ( sec 159) , which you can file without any late fee.

as far as form 23AC and 23 ACA is concerned it has to be file within 30 days of the AGM ( section 220(1))so you have to pay late fee for a month only.

Agree with Mr. Aditya......but check  Board minutes first the period decided by the board for financial year.
