Company has not filed its annual return for the previous year(2010-2011), directors which signed the Balance Sheet and other documents for that year have resigned from the company.
Should we file the return with digital signature of new director, and what resolution should be passed for the same as on date.

Even If Annual Return was not filed , u must have previous year balance sheets with signatures of them.
try to paste those signature on annual returns through some software.I prefer Foxit Editor .
Your company is obviously some pvt company which really does not care about secretarial issues , neither does MCA so just paste it and it will get approved as it id STP form.

Schedule V must be signed by old directors since you are submitting information as on previous AGM, however you can affix DSC of new director on 20B by passing a resolution in Board meeting.
"Resolved that Mr. X, director of the company be and is hereby authorised file form 20B with Registrar of Companies."
