There is private limited company with two members. in agm can one member be present and other can be present through video conferencing??? if not then can member execute power of attorney tin favour of some other person instead of proxy as proxy is not counted as quorum. Please help us out.

It is not possible. Atleast two members has to be present in person. you do not have any other option.
As per Sec.103, two members "personally present" form quorum for the general meeting of a privte company. A member has got a right to appoint a power of attorney to attend and vote at a general meeting. However, the question is whether such power of attorney holder will be treated as a member "personally present"?
