Allotment of shares

Hi, AB Private Limited having two Director Mr. A and Mr. B. They are Share holders as well. 
 
Now AB Private Limited received share application money from Mr. C. 
 
Can this Company go as per section 62, means can we simply pass a Board Resolution for allotment of these Shares. if not : Kindly mention the prcedure,
