We appoint an additional Director in April 2013. The AGM of Company was on 30.08.2013. The signing Date of Notice and balance sheet is 25.06.2013. We did not Mention in notice of AGM regularization of the additional director. can we regularized the director without give in notice agenda.

No, he has ceased to be a director after the AGM. Now you have two options:
1. Again appoint him as additional director by passing Board resolution till the date of next AGM. OR
2. Call EGM and appoint him as regular director by passing ordinary resolution.
Thanks Sir. please also confirm that 1st i have to file form 32 for resignation or i can file form 32 for appointment as additional directors without filling form 32 for resignation.
