Additonal director vs director

Dear Sir, First of all I want to whether word "additional director used in the Co. Law. is a designation word or it is literally meant. This question raised by me was because, if a pvt. ltd. co. has appointed a director in the month of say oct 2011 terming him as director of the co. from a certain date in the board resolution for which articles provides for & all ROC procedures have been completed duly. whether such appointment lapses at AGM & if the co. wishes to continue with his services whether appointment has to be made at AGM? if yes? what is the proceedure. query 2) with the same proceedure if a director has been appointed as a MD whether such appointment should also be confirmed at the AGM.
