2. कं पनी (कारपोरेट सामािजक दािय व नीित) िनयम, 2014 के िनयम 4 म , उपिनयम (2) के 7 थान पर िन* न िलिखत
उपिनयम रखा जाएगा, अथा

, सीएसआर सिमित ारा अनुमोदत इसके सीएसआर >याकलाप" के वचनबंध के िलए िनण

(क)
अिधिनयम क धारा 8 के अधीन 7 थािपत कोई कं पनी या रिज7 Bीकृ त C यास या रिज7 Bीकृ त
सोसाइटी, कं पनी ारा 7 थािपत या तो एकल या कसी अC य कं पनी के साथ माD यम कर सके गा, या
(ख)
अिधिनयम क धारा 8 के अधीन 7 थािपत कोई कं पनी या रिज7 Bीकृ त C यास या रि ज7 Bीकृ त
सोसाइटी, क ीय सरकार या राE य सरकार या संसद् या राE य िवधान-मंडल के अधीन 7 था िपत

NOTIFICATION
New Delhi, the 23rd May, 2016
G.S.R. 540(E).— In exercise of the powers conferred under section 1 35 and sub-sections (1) and (2)
of section 469 of the Companies Act, 2013 (18 of 20 13), the Central Government hereby makes the follow ing
rules further to amend the Companies (Corporate Soc ial Responsibility Policy) Rules, 2014, namely:—
1. Short title and commencement. - (1) These rules may be called the Companies (Corpo rate Social
Responsibility Policy) Amendment Rules, 2016.
(2) They shall come into force on the date of the ir publication in the Official Gazette.
2. In the Companies (Corporate Social Responsibilit y Policy) Rules, 2014, in rule 4, for sub-rule (2), the
following sub-rule shall be substituted, namely:—
“(2) The Board of a company may decide to undertak e its CSR activities approved by the CSR
Committee, through
(a) a company established under section 8 of the Act or a registered trust or a registered society,
established by the company, either singly or along with any other company, or
(b) a company established under section 8 of the A ct or a registered trust or a registered society,
established by the Central Government or State Gove rnment or any entity established under an Act of
Parliament or a State legislature :
Provided that- if, the Board of a company decides t o undertake its CSR activities through a company
established under section 8 of the Act or a registe red trust or a registered society, other than those
specified in this sub-rule, such company or trust o r society shall have an established track record of
three years in undertaking similar programs or proj ects; and the company has specified the projects or
programs to be undertaken, the modalities of utilis ation of funds of such projects and programs and
the monitoring and reporting mechanism”.
