As you are aware that the Ministry of Corporate Affairs, Government of India has initiated the MCA 21 Project as the flagship e-governance initiative to fulfill the aspirations of the stakeholders in the 21st century through adoption of a service-centric approach.
We have received a communication from the Ministry of Corporate Affairs, Government of India intimating a number of significant changes to be implemented under the MCA 21 with effect from 1st July, 2007. A brief on each of the changes is as under: -
    * Role-check means that the MCA21 system shall verify, at the time of uploading of e-forms, as to whether the Digital Signature(s) affixed on the e-forms belong to the signatory (whose DSC has been registered on the MCA portal) of the company and/or of a practicing professional (wherever applicable). From July 1, 2007, this role-check would be implemented, which means that all the authorized signatories must register their DSCs on the portal before the cut-off-date.
      · For the purpose of role-check function, it is mandatory for companies to provide details of their `signatories’ through Form DIN-3.
      · In case of default in filing of form DIN-3 and non-registration of DSC of the signatory on the MCA portal, the e-form shall not be accepted.
      · Details of professionals will be provided by their respective Institutes and the same will be updated periodically.
      · Signatories/Practising professionals must register their DSC.
      · Facility of registering DSC is already available on the MCA portal.
      · Professionals are requested to take necessary steps (as illustrated in the portal) immediately, to avail hassle free e-filing services on the MCA portal.

    * Regular DIN for a Director would be a mandatory requirement for incorporation of a company and other e-filing from July 01, 2007. The system will not accept filing with a Provisional DIN. Directors are requested to obtain DIN without any further delay to save against any disappointment at a later stage. Also, any application for allotment of DIN from July 01, 2007 would be acceptable on payment of the prescribed fee.
    * Filing of DIN-3 would be a mandatory requirement in respect of Companies incorporated till June 30, 2007. From July 01, 2007, DIN-3 filing would be accepted only on payment of statutory fees. There will be no requirement for filing Form DIN-3 in respect of Companies incorporated from July 01, 2007 onwards as the requisite details would be captured through Form DIN-1 and Form-32.
