Yes, the Ministry of Corporate Affairs (MCA) has allowed companies to hold their Annual General Meetings (AGMs) by Video Conferencing (VC) or other audio visual means (OAVM) during the calendar year 2020.
This decision has been made to ensure continuous adherence to social distancing norms and restrictions on movement of persons.
Companies can send financial statements, along with Board's reports, Auditor's reports, and other required documents, solely through email.
Companies are required to provide shareholders with a way to register their mandate for transferring dividends electronically, using Electronic Clearing Service (ECS) or other methods.
The framework for conducting AGMs will be applicable mutatis mutandis based on whether a company is required to provide or has opted for e-voting facilities.
