CORPORATE SECRETARIAL DUTIES :-
• To ensure Compliance with statutory and regulatory requirements of the company including implementation of good corporate governance practice.
• Keeping company activities in strict compliance with new legislation.
• Liaise with external secretarial agents and follow up on corporate secretarial matters as required, from time to time.
• Provide relevant documents, resolutions or information for secretarial matters either certified by director or company secretary as and when requested for.
LEGAL FUNCTIONS :-
• To Review, draft vet corporate, commercial, technical and various other agreements and execution of such agreements thereof.
• To provide legal support to various department.
• To coordinate with external lawyers in all legal matters including documentation, litigation, dispute resolution, execution of decrees for recovery of debts etc .
• Attending to debt recovery matters by sending statutory legal notices and filing complaints under Negotiable Instruments Act and filing suits such as summary suit, winding up petition in High Court and City Civil Court.
• To look after Intellectual Property matters by filing new registration of trade marks, copy rights and also filing suits for infringement and oppositions
• Compounding at departmental level and settling matters in Court Under Legal Metrology Act.

Client : An electrical based at Mumbai having turnover of Rs 5000 Crores +

Position : Head - Secretarial Affairs & Legal

Location : Mumbai HO

Reporting to : CFO

The candidate should compulsory have IPO exposure from ideally Manufacruring Industry & have handled volume of more the 500 Crores:-

Qualification : CS & LLB (must)
Exp : 15 – 20 yrs +
Location : Mumbai Ho
Salary : No Constraint for the Right Candidate
