Is it necessary to appoint someone an additional director before appointment as a WTD or a non director can be appointed as WTD directly. Please mention the procedure in detail for the appointment. Please reply ...urgent

First of all u have to appoint a person as an additional director in Board meeting and then u can make him a regular director(Whole time director). Other views are solicited
In which section is it specified....cant find any reference ?
Under this situation u need to appoint a person as Addittional Director under Sec 260 in the Board Meeting and in the same meeting u can re-designate him as WTD.
But in the ensuing AGM u need to regularize this Director bcoz he was orignally appointed as Addittional Director. and he ceases to be a director at the commnecement of the AGM next to the board meeting in which he was appointed as additional director and WTD
