Hello Sir,

Please guide me in respect to the following issue.

 

For the purpose of Private Placement of Shares of a Private Limited Company, is valuation of shares mandatorily required to be done?

e.g. if the Face Value of Share is Rs. 10 and the Company is willing to issue Shares to its new Subscribers at the face value only, is it necessary to obtain the Valuation Certificate from a CA with minimum 10 years of experience?

P.S. The Company was incorporated in 2013 and it had not started any operations till date, i.e. the company is in losses with NIL Gross Receipt till date.

Yes, it is mandatory.  Refer Rule 13 of Companies (Share Capital & Debentures) Rules 2014.

 

If a Private Limited Company is issuing shares to its 100% holding (listed) Company at face value, is valuation compulsory?

Shares should be issued under private placement or rights issue?
