Time gap between the approval of the financial statements by the BoD and the date of notice of AGM

Can anyone please tell me, what shall be the time gap between approval of the financial statements by the BoD and the date of notice of AGM? Which sections or rules?

Date of Sending Notice of Annual General Meeting can be the date on signing of the Financial Statements by the Board Member or any date after that.

Note: It may be noted that as per the provision of Section 101 of the Companies Act 2013, notice of AGM shall be sent at least 21 days before the date of the General meeting. If notice is sent through courier or speed post 2 more days shall be added in sending the notice.

It may be noted that the date of sending notice and date of General meeting shall not be included in computation of 21 days.

Notice can also be send at shorter notice,i.e. less than the period of 21 days if consent in writing is received from at least 95 % of the members who are entitled to vote at the MEETING.
