We are subsidiary of foreign Company, our MD is in Japan, however rest all executive Directors are in India, my query is, can we conduct Board Meeting for approving financial in India. Is it ok if financials are signed by any other two Executive Directors if they have been specifically appointed through Board Resolution to sign the Financials.
Management is not interested in taking VC meeting.

Yes,you can please go through the following for signing of the financials :
the financial statement, including consolidated financial statement, if any,
shall be approved by the Board of Directors before they are signed on behalf of the Board at
least by the chairperson of the company where he is authorized by the Board or by two
directors out of which one shall be managing director and the Chief Executive Officer, if he is a director in the company, the Chief Financial Officer and the company secretary of the
company, wherever they are appointed, The financial statement, including consolidated financial statement, if any,shall be approved by the Board of Directors before they are signed on behalf of the Board at least by the chairperson of the company where he is authorised by the Board or by two directors out of which one shall be managing director and the Chief Executive Officer, if he is a director in the company, the Chief Financial Officer and the company secretary of the company, wherever they are appointed,
