shifting of registered office

Dear Srishti,

According to section 146 of the Companies Act, a company can not except with the authority of special resolution passed in the general meeting, remove its registered office outside the local limits of the city.

Accordingly steps will be as below;

• Hold Board Meeting for the matter, including convening EGM and approving notice along with Exp. Statement,
  
• Hold EGM,
  
• File form 23,
  
• File form 18,
  
• Issue general notice in the news paper informing all the members and other concerned personss,
  
• Get painted new address and relevant changes in records.

Dear Srishti,

All you need to do is pass a Board resolution and file Form 18 since you are shifting the registered office within the jurisdiction of the same Registrar....

Hello Members,

As per Section 146 if the Shift is outside the local limits of town, city and village, then SR is needed to be passed in General Meeting even though the jurisdiction of ROC does not Change.

And file From 23 and 18 to concerned ROC for the same.

i want to know whether  STPI Authorized to Impose Penalty to STP units for non communicating change in registered address  (Not in Unit Location Address) & under which ACT Or LAW.
