Share transfer by pvt ltd company

Hi,

In one of our company there our three directors who have hired an consultant for their company and he is not been paid any fees, but after three of consultancy he will be shares of the company in proportion of directors shareholding.

Can such transaction be done and for such transaction can memorandum of understanding be signed & registered.

Please help any clause particularly for such transaction will take into consideration to deal, also does it amount to contingent contract but we have time limit fixed .

Kindly help as its urgent.

Hi Kushal, Please refer the provision of Companies Act with reference to sweat equity Shares, you will get your answer. Also note that, no need to register such documents but agreement is prior condition for issuing such shares.

Thanks for the prompt reply, but he is not appointed as employee. He will be just a consultant and if not a consultant as might be restricted from where he is employed want him as a mentor in the company (kindly suggest as what position)  and as mentor company want to give him shares of company after 3 years. Kindly suggest the ways of transfer and on what position he can be appointed under some MOU
