Yes , business losses  can be c/f and set off by the company for fresh 8yrs(speculation losses only 4yrs)..See Sec 78(2) exceptions..

and is there any need to change the MOA of company to add business of prop. Concern.

The company is not going to continue with the line of business of prop.concern
