For one of our client there is service tax liability for software download. My query is can the same be adjusted against input tax credit?

Yes it can be adjusted under provisions of service tax
Dear Swathi,
Facts are not much clear. But it seems import of services, and recipient is liable to pay service tax under Reverse Charge Mechnism.
In case of Reverse Charge Mechnism, adjustment with CENVAT Credit is not possible.
