Thank you Mayank but what i need was notice under section 257

Hello Friends

Notice recd under Section 257 has to be circulated to all members at least 7 days before the meeting or it has to be advertised atleast before two days of the Meeting. Pl clarify me which meeting is this- whether it is AGM. If yes,then whether it would be sufficient compliance if the Company mentions the same in the Notice of AGM under the Explanatory Statement that it has recd notice from the member under Section 257 propsing the name of person to be appted as Director along with sum of Rs 500 /- or we have to send another Notice.

Its general pratice to state in AGM Notice that Company has recd notice u/s 257. which will be sufficient compaliance of Sec 257

Dear, here in section 257 the word any General Meeting is used so it can be any General meeting EGM or AGM. But in both cases at least 7 days before the meeting the company shall inform to all its members by way of individual notices about the candidature of new director in the Company. But if the Company will advertise the same in at least in 2 news papers (English and Vernacular Language) at least 7 days before then no need to serve individual notices. And this individual notice is different from Notice of general meeting even though you are serving notice with explanatory statement to all the members in regard to this matter still you have to give this individual separate notices to all the members. Alao a separate format is given for this notice.

Completely agree with Neha Even Though the notice of the general meeting contains  notice with regard to this matter still either individual notice or notice by way of newspaper ad is required atleast 7 days before the meeting.
