Hi,

Ours' is a public Co having 2 companies as its promoters. We have 12 directors on our board, of which the 3:3 directors are promoter directors and remaining 6 are independent directors. My question is are the directors of the promoter co. liable to retire by rotation. Plz. Guide

yes....they are liable....as per the companies act 2/3 of the board should constitute of directors whose period of office is liable to determine by retirement by rotation.

 thanks Rahesh, Further as per my articles all the dir are lia to retire by rotation. As mentioned out of 12 we have one MD on our board. so out of remaining 11 should we re-appoint 4 or 3 in this AGM
