A listed Co. in its AGM had passed a special resolution for keeping of its Statutory Register at a place other than its Registered Office. Now the Company wants to reverse the activity i.e. it again wants to keep its Statutory Register at the Registered Office of the Company. 

What all do we need to do to give effect to the same?

Call an Extra Ordinary GM and pass special resolution nullifying the effect of previous resolution..

or pass special resolution of shifting the statutory registers from other place to the Registerd office..

 

 

Can we not do it by passing of a Board Resolution specifying a suitable reason as to why we want to keep the Statutory Register at the registered office again and since the activity was done by passing of special resolution, as a good Corporate Governance practice we give a newspaper publication, post it in the Company’s website and also at the notice Board of the office where the Statutory Register is currently kept to make the shareholders aware of the same?

Will doing this not suffice?

It would have been better had you checked the provisions of Company Law regarding Statutory Registers and then made your comment.

Since section 163 is silent about again shifting statutory registers from other place to the Registered office. As per my interpretation, intention of the statute is whenever there is change in place of keeping statutory register it should be by general meeting authority. Passing of Board resolution will not suffice. You have to hold a general meeting for again shifting statutory registers from other place to the Registerd office. Opinion of other members are solicited.

Hi, As per section 163 Statutory register can be kept at any place within CITY other than registered office by passing special resolution As per section 209 books of accounts can be kept at any place in india by filing form 23AA within 7 days. Books should be maintained for 8 years. My queries are : 1. Which books are covered under 163 and 209. What is the diff between the two. 2. As per my understanding minutes books are statutory register under section 163. Does minutes also included in section 209 and they are to be maintained for 8 years. 3. What is the procedure if we have to keep Statutory register OUTSIDE CITY where registered office of company is situated ? OR we cant keep them at any place in INDIA. Pls enlighten.
