In my view, as the Company could not adhere to the CG Order within the time limit specified by CG, you need to perform the process afresh if you want to increase the number of Directors beyond 12.

To update, the maximum number of Directors have been increased from 12 to 15 in the Companies Bill 2012 passed in Lok Sabha on 18 December 2012.

Further, CG approval has been done away with, now only special resolution is needed for number of Directors beyond 15.

Thanks very much for this update. In fact I have made a note on salient features of Companies Bill, in which I will make the above addition.
