is there any difference for public company and private company for the concept of sec 174(1)

No there is no difference expressly mentioned under section 174(1).
But in private company minimum Directors should be 2 only
And for public company minimum Directors should be 3
so no need to calculate 1/3rd in case of private company if total number of Directors are 2
Note: Fraction is round of to one.
