but one of the lecturer said we need to deduct proportional representation directors u/s 163 because they are not electing in GM
but in view of that u/s 163 we elect 2/3rd of the director if we really need to deduct them what make sense in drafting sec 152(6)&(7)

Yes in retire by rotation we shall exclude those directors who are appointed under section 163 of the companies act 2013. And after 3 years the company may reappointment them or not.
