Sale of shares

457 views 1 replies

All shareholders of a Pvt Ltd company decided to sell shares to two individual buyers,. An MoU was signed between the directors representing shareholders and buyers. Shareholders discharged share transfer forms and received payment in PDCs. Can the directors who signed the MoU change the terms of MoU and enter into a fresh agreement regarding valuation of shares after shares were transfered?

Sale  consideration is  to be disclosed in  share transfer form.  Stamp duty must have been paid accordingly.  How can you now change sale consideration?
