S acting against the company

If a shareholder is acting against the interests of the company or his acts are detrimental to the interests of the company can the Board of Directors take any action against the shareholder under Companies Act 1956 ?

Dear Dipjyoti,

As per my knowledge its the Company acting through its Board of Directors can file a suit against that person only after taking into account the nature of the damages caused by the person. His being a shareholder in no way shields him for such acts caused by him.
