Can some one share draft board resolution for issuing shares on a right basis. I understand there is no requirement for shareholder's resolution. Also, please a draft letter of offer.

If in a company ABC ltd. authorized capital of company is RS. 1000000 and paid up capital is Rs. 100000. now company has received money amounting Rs. 7600000 from public. company want to issue shares to them.

Also suggest me can a private company issue same class of shares to shareholders at premium at different value at same time???
For eg. If a company want to issue shares to X,Y, Z can company issue shares to X at Rs 350, to Y at Rs. 500 and Z at Rs. 750.???
Kindly suggest me.
