What is the procedure for appointing an auditor in place of the old retiring auditor who has submitted his resignation. Pls also give draft of the resolution

If Pvt co appoint the auditor in between FY, article is silent relating to Section 173 & Table 1 so there is any need to file notice with explanatory statement

Dear Sir,

I am a auditor of limited company appointed through regular AGM. I have recieved intimation from another auditor that " Director of company approached him for audit" and he is asking for NOC. Neither i have recieved any notice or communication from company! Please suggest? can directors of company do so without my resignation?
